Terms of Use

1. Acceptance of These Terms

These Terms of Use (the “Terms”) are an agreement between you and BEEZENDS TECHNOLOGIES LTD (“BEEZENDS”, “we”, “us” or “our”) governing your access to and use of the BEEZENDS mobile application, the beezends.com website and the related services we provide (together, the “Services”). By creating an account or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. About the Services

BEEZENDS is a digital ecosystem application that brings multiple everyday experiences into one account, including: BeeChat (communication), BeeMonie (a payments experience), BeeMoments (social sharing), BeeWorkspace (workplace and enterprise tools), BeeMalls (commerce), BeeJobs (jobs and recruitment), BeeRides (mobility) and BeeDrive (documents and files). Individual features may vary by region, device and account status, and may be added, changed or withdrawn over time.

3. Eligibility, Accounts and Identity Verification

• You must provide accurate registration information, including a valid phone number, and keep it up to date.
• You are responsible for keeping your login credentials and payment PIN confidential and for all activity that occurs under your account. Notify us immediately of any suspected unauthorised use.
• Access to payment and other financial features requires you to be at least 18 years old and to complete identity verification (KYC), which may include verification of your BVN or NIN through licensed identity verification providers and a facial-verification selfie. You agree to provide truthful and complete verification information; providing false identity information is a breach of these Terms.
• We may decline, limit or suspend access to features where verification is incomplete, where required by law, or where we reasonably suspect fraud or abuse.

4. Payments and Financial Services

BeeMonie is a payments experience within the BEEZENDS ecosystem. Financial and payment services accessed through the Services are subject to applicable regulatory requirements and are provided through appropriately licensed financial and payment-service partners where required. BEEZENDS TECHNOLOGIES LTD is a technology company; where a licence is required to provide a regulated financial service, that service is delivered by the relevant licensed partner, and your use of it may also be subject to that partner’s terms.

• You must only use payment features for lawful purposes and with funds you are lawfully entitled to use.
• Transactions may be delayed, declined, limited or reversed where required by law, by our licensed partners, or to prevent fraud, money laundering or other abuse.
• You are responsible for entering correct recipient details before confirming a transaction. Refunds and disputes are handled as described in our Refund & Dispute Policy.

5. Acceptable Use

You agree not to use the Services to:

• break any applicable law or regulation, or facilitate fraud, money laundering, terrorism financing or any other financial crime;
• harass, threaten, defame or defraud any person, or impersonate any person or entity;
• upload or share content that is unlawful, hateful, sexually exploitative, violent, or that infringes another person’s rights;
• send spam or unsolicited bulk messages, or artificially manipulate engagement;
• interfere with, probe, reverse-engineer or attempt to gain unauthorised access to the Services or other users’ accounts; or
• use the Services to sell prohibited goods or services, including counterfeit goods, illegal drugs or weapons.

6. User Content and Social Features

• You retain ownership of the content you create and share through BeeChat, BeeMoments and other features. You grant us the licence needed to host, transmit and display that content for the purpose of operating the Services.
• You are solely responsible for the content you post. Content must comply with Section 5 above and with applicable law.
• We may remove or restrict content, and restrict accounts, where we reasonably believe content or conduct violates these Terms or applicable law. Users can report content or behaviour through in-app reporting and our support channels.

7. Marketplace, Rides, Jobs and Third Parties

Some features connect you with independent third parties — for example merchants on BeeMalls, drivers and riders on BeeRides, and employers or candidates on BeeJobs. Except where expressly stated, those third parties are not our agents or employees, and the products, services, listings and conduct of third parties are their own responsibility. We provide the platform through which those interactions take place and will assist with disputes as described in our Refund & Dispute Policy.

8. Intellectual Property

The Services, including the BEEZENDS name, logos, product names, software and design, are owned by or licensed to BEEZENDS TECHNOLOGIES LTD and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable licence to use the app and website for their intended purposes. You may not copy, modify, distribute or create derivative works from the Services except as permitted by law.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we do not warrant that the Services will be uninterrupted, error-free or secure, or that any content, listing or third-party service accessed through the Services is accurate or reliable. Nothing on the Services constitutes financial, legal or professional advice.

10. Limitation of Liability

To the fullest extent permitted by applicable law: (a) BEEZENDS TECHNOLOGIES LTD shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill or business opportunity, arising out of or in connection with the Services; and (b) our total aggregate liability for all claims arising out of or relating to the Services shall not exceed the fees (if any) you paid to us for the Services in the six (6) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability arising from fraud.

11. Indemnity

You agree to indemnify and hold harmless BEEZENDS TECHNOLOGIES LTD, its officers, employees and agents from claims, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms, your content, or your misuse of the Services, except to the extent caused by our own breach or negligence.

12. Suspension and Termination

• You may stop using the Services and close your account at any time through the app or by contacting support.
• We may suspend or terminate your access, in whole or in part, where you materially or repeatedly breach these Terms, where we are required to do so by law or a competent authority, or where necessary to protect the Services or other users. Where reasonably possible, we will give you notice and an opportunity to remedy the issue.
• Termination does not affect rights and obligations that accrued before termination, including record-keeping obligations under applicable law and the settlement of pending transactions.

13. Changes to the Services and These Terms

We may update these Terms from time to time. When we make material changes, we will update the version and effective date above and notify you through the app or the website before the changes take effect. If you continue to use the Services after the updated Terms take effect, you accept the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to any mandatory consumer-protection rights you may have, the courts of Nigeria shall have jurisdiction over disputes arising out of or in connection with these Terms. We encourage you to contact our support team first so we can try to resolve any issue directly.
